1. Introduction & Acceptance of Terms

Welcome to Audio Exchange ("AUDEX," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, services, and applications (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

2. Account Registration and Security

To use many features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. The Platform: A Venue for Digital Collectibles

The Platform allows users to buy, sell, and trade digital assets linked to musical works ("Assets"). You acknowledge and agree that AUDEX is a venue and is not a party to any agreement between buyers and sellers of Assets. The value of these Assets is volatile and subject to market forces. We do not provide financial or investment advice. All trading decisions are your own, and you are responsible for assessing the risks.

4. Intellectual Property and Asset Ownership

When you create or list an Asset, you warrant that you have all necessary rights to the underlying music and artwork. The original artists and creators retain all intellectual property rights to their work. Purchasing an Asset grants you ownership of a unique, tokenized collectible. It does not grant you any copyright, commercial usage rights, or other intellectual property rights in the underlying music or art, unless explicitly stated otherwise in the Asset's metadata.

5. Prohibited Activities

You agree not to engage in, or assist any third party in engaging in, any of the following prohibited activities: (a) any form of market manipulation, such as wash trading or front-running; (b) using the platform for any illegal purpose, including money laundering or terrorist financing; (c) infringing on the intellectual property or other rights of others; (d) distributing malware, viruses, or other harmful code; (e) interfering with the proper functioning of the Platform.

6. Fees, Payments, and Royalties

Every transaction on the Platform is subject to a fee, which will be clearly displayed to you before you confirm the transaction. These fees support the platform and fund the royalty payments to artists. By conducting a transaction, you agree to pay all applicable fees. All payments are final and non-refundable except as required by law.

7. Disclaimers and Limitation of Liability

The Platform is provided on an "as is" and "as available" basis without any warranties of any kind. To the fullest extent permitted by law, AUDEX will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use of the Platform.

8. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the jurisdiction in which our company is incorporated, without regard to its conflict of law provisions. Any dispute arising from these Terms will be resolved through binding arbitration, as detailed in our forthcoming dispute resolution policy.
